Terms of Service

These Terms govern your use of Moroporo Technologies' website, tools, reports, and services. Please read them, by using our services, you agree to them. We've kept them as clear as we can, but they are a binding agreement.

1. Acceptance of these terms

By accessing or using our website, tools, the AI Job Risk Test, our reports, or any other service we provide (together, the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you don't agree, please don't use the Services. If you use the Services on behalf of a business or organization, you confirm you have authority to bind that organization to these Terms.

Where we present a checkbox, button, or similar mechanism asking you to confirm your agreement (for example, when you start the test, create an account, or complete a purchase), checking or clicking it is your affirmative acceptance of these Terms as they exist at that time. We may record the date, time, and version of the Terms you accepted. Each time you submit information, request a report, or make a purchase, you reaffirm your agreement to the version of these Terms then in effect. If you do not agree, do not complete that action.

2. Who we are

The Services are provided by Moroporo Technologies ("Moroporo," "we," "us," or "our"), a business based in Canada. You can reach us at hello@moroporotech.com.

3. Our services

Moroporo provides AI-assisted diagnostic tools, reports, and related services, including the AI Job Risk Test and the Resilience Report, designed to give you information and guidance about AI's impact on work, and to help individuals and businesses identify and build solutions. We may add, change, or discontinue any part of the Services at any time.

These Terms also apply to any future services we offer, including but not limited to additional diagnostic tools and reports, business assessments, consulting and advisory services, custom build or development engagements, software, subscriptions, courses, and other products or services, whether free or paid. Where a specific service has its own additional terms (for example, a statement of work, an order form, or service-specific terms presented at purchase), those additional terms supplement these Terms, and if there is a conflict, the service-specific terms govern for that service.

Custom engagements & deliverables

If we perform custom work for you (for example, building a tool, workflow, or solution), the specific scope, fees, timelines, and ownership of deliverables will be set out in a separate written agreement, statement of work, or order form. Unless that separate agreement says otherwise, we retain ownership of our pre-existing materials, methods, know-how, and any general tools or components we use or develop, and you receive a licence to use the specific deliverable for your internal business purposes upon full payment.

Subscriptions & recurring billing

If you purchase a subscription or recurring service, you authorize us (through our payment provider) to charge the applicable fee on a recurring basis until you cancel. We'll disclose the billing frequency and amount at signup. You can cancel at any time, effective at the end of the current billing period; unless required by law, fees already charged are non-refundable. We may change subscription pricing with reasonable advance notice, effective at your next renewal.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using them, you confirm that you meet this requirement and that the information you provide is truthful.

6. Your information & accuracy

Our tools produce results based on the information you provide. You are responsible for ensuring that information is accurate and complete. We are not responsible for results, reports, or recommendations that are inaccurate, incomplete, or unsuitable because of incorrect, incomplete, or misleading information you provided. You agree not to provide false information or to impersonate any person or entity.

7. Payment & pricing

Some Services are free; others are paid. Prices are shown at the point of purchase and may change at any time, but changes won't affect purchases already completed. Payments are processed by our third-party payment provider (Stripe); by purchasing, you also agree to their terms. You agree to provide accurate payment information and authorize us (through our provider) to charge the amount shown. All prices are in the currency indicated at checkout, and you are responsible for any applicable taxes.

8. Refunds

Because our paid reports are digital products delivered immediately, all sales are generally final once the report has been generated and delivered. Where we offer a satisfaction or refund guarantee, its specific terms will be stated at the point of purchase, and those stated terms govern. If you believe you were charged in error, contact us at hello@moroporotech.com and we'll review it in good faith.

EU/UK consumers: Where you would otherwise have a statutory right to withdraw from a purchase within a cooling-off period, by requesting immediate delivery of a digital product you acknowledge that delivery begins right away and that you lose your right of withdrawal once delivery has started. This does not affect any mandatory consumer rights that cannot be waived under your local law.

9. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose;
• Copy, scrape, resell, redistribute, or commercially exploit our reports, content, or tools without our written permission;
• Attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to the Services or their systems;
• Upload malicious code or interfere with anyone else's use of the Services;
• Use the Services to build a competing product, or to train a competing model, without our permission;
• Misrepresent your identity or provide false information.

We may suspend or terminate access for anyone who violates these rules.

Using our prompts and tools with third-party AI services. Some of our reports include prompts, templates, and tools designed for use with third-party AI services (such as ChatGPT, Claude, or Gemini). If you choose to use them that way, you are responsible for complying with your employer's AI and data policies and with those services' own terms of use. Do not enter confidential, proprietary, or client information into third-party AI tools. Those services are operated by third parties, not by us, and any information you submit to them is handled under their terms and privacy policies, not ours.

10. Intellectual property

All content, tools, designs, text, graphics, logos, the Moroporo name and mark, the methodology behind our assessments, and the reports we generate are owned by Moroporo or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable licence to use your own report for your personal or internal business purposes. You may not reproduce, distribute, or create derivative works from our content except as expressly allowed. Any feedback you give us may be used by us without obligation to you.

11. Third parties & affiliate links

Our Services may contain links to third-party websites, products, or services, including affiliate links from which we may earn a commission at no extra cost to you. We don't control and aren't responsible for third-party sites, their content, or their practices, and your dealings with them are solely between you and them. Affiliate recommendations are ranked by fit, not commission, but we make no guarantee about any third-party product or service.

12. Disclaimer of warranties

Some jurisdictions don't allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, our warranties are limited to the minimum extent permitted by law.

13. Limitation of liability

Some jurisdictions don't allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold harmless Moroporo Technologies and its owners, employees, and partners from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, your violation of any law, or your infringement of any third party's rights.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we discontinue the Services. You may stop using the Services at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms. If you don't agree to the changes, stop using the Services.

17. Governing law & disputes

These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree that any dispute arising from or relating to these Terms or the Services will be resolved exclusively in the courts located in Manitoba, Canada, and you consent to their jurisdiction, except where applicable consumer-protection law gives you the right to bring a claim in your own jurisdiction. Before starting any formal dispute, you agree to first contact us at hello@moroporotech.com so we can try to resolve it in good faith.

18. General

• Entire agreement: These Terms and our Privacy Policy are the entire agreement between you and us regarding the Services.
• Severability: If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver: If we don't enforce a right, that's not a waiver of it.
• Assignment: You may not assign these Terms; we may assign them in connection with a business transfer.
• Force majeure: We're not liable for failures caused by events beyond our reasonable control.
• Electronic communications: You consent to receive communications from us electronically (by email or through the Services), and you agree that electronic communications, agreements, and notices satisfy any legal requirement that such communications be in writing.
• Export & sanctions: You agree to use the Services only in compliance with all applicable export-control and sanctions laws. You confirm you are not located in, and will not use the Services on behalf of anyone in, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party or sanctioned-persons list. We may restrict access from any jurisdiction at our discretion.
